Specifically, we will create a cryptographic hash value from your contacts’ email addresses and phone numbers. Each cryptographic hash value is stored on our servers and linked to your account to efficiently connect you with these contacts when they join Banaba. If you would like to invite a contact to Banaba, you can do so by sending them an invitation (e.g., via SMS).
  • When you send us an email or otherwise contact us.
  • When you are the parent or guardian of a child under the age of consent and provide their name, email address, and other information related to the child’s use of the Service as part of the parental consent process.

版权争议政策

报告版权侵权的程序

Welcome to Banaba! Banaba.ai. (“Banaba,” “we”) aims to help you grow in faith and spirituality, and find peace in God through Bible studies, prayers, and social services available on our website (“Site”), mobile applications (“Apps”), products, and services (collectively, the “Services”).

These Terms of Service (“Terms”) form a binding contract between you and Banaba, Inc. (“Banaba,” “we”). By using our Services in any way, you agree to all of these Terms, which will remain in effect during your use of the Services. These Terms include the provisions in this document and those in the Privacy Policy, Cookie Policy, and Copyright Dispute Policy. Your use of or participation in certain Services may also be subject to additional policies, rules, and/or conditions (“Additional Terms”), which are incorporated here by reference. By using or participating in any such Services, you agree to comply with these Additional Terms as well.
Please read these Terms carefully. If you are under 18, please ensure that a parent or guardian reads these Terms with you. These Terms contain important information about our Services, any fees and charges we may collect, automatic renewals, liability limitations, class action waivers, and how disputes will be resolved by arbitration instead of in court. Your use of and access to our Services are subject to these Terms; if you do not agree to all of them, you may not use or access the Services.
Arbitration Notice and Class Action Waiver:
Except for certain types of disputes described in the arbitration agreement section below, you agree that disputes between you and us will be resolved by binding, individual arbitration and you waive your right to participate in class actions or class arbitrations.

Children's Personal Data
We do not knowingly collect or solicit personally identifiable information from children under the age of consent (“Children”) without verifiable parental consent (“Parental Consent”), except for a limited amount of personally identifiable information needed to obtain Parental Consent (“Necessary Information”). Until we have received Parental Consent, we will only use Necessary Information to obtain Parental Consent. If you are a Child, please do not try to register for or use the Services or send any personal information about yourself to us until we have obtained Parental Consent. If you believe a Child may have provided us personal information beyond Necessary Information without Parental Consent, please contact us at [email protected]. Using the Services
To access certain features of the Services, you may need to register for an account (“Account”), select a password and username (“Banaba User ID”), and provide us with certain information or data, such as your contact details. You agree to provide accurate, complete, and updated registration information. You must not select a name you don’t have the right to use, or another person’s name with the intent to impersonate that person. Without prior written permission, you must not transfer your Account to anyone else.
You may be able to access some parts or features of the Services by using credentials from other services (such as those provided by Google and Apple) (each, a “Third-Party Account”). By using the Services through a Third-Party Account, you permit us to access certain information from the Third-Party Account for use by the Services. You control the amount of information available to us by adjusting your Third-Party Account settings.
You represent and warrant that you are an individual of legal age to form a binding contract (or, if not, you’ve received your parent’s or guardian’s permission to use the Services and have gotten your parent or guardian to agree to these Terms on your behalf).
You agree to use the Services only for your internal, personal, non-commercial purposes, and in compliance with all applicable laws and regulations. If applicable law prohibits your use of the Services, you are not authorized to use the Services. We are not responsible for your use of the Services in a way that breaks the law.
You must not share your Banaba User ID, Account, or password with anyone else, and you must protect the security of your Banaba User ID, Account, password, and any other access tools or credentials. You are fully responsible for all activity associated with your Banaba User ID and Account.
Communications
As part of the Services, you may receive communications through the Services, including messages from Banaba (e.g., via email or SMS). If you encounter any issues with the messaging program, you can get help by contacting [email protected]. You can opt-out of receiving promotional emails by following the instructions in those emails or by contacting [email protected]. Even if you opt-out of promotional emails, we may still send you transactional or administrative emails, such as those about your Account or ongoing business activities, including legal notices. With your consent, we may send promotional and other push notifications to your mobile device. You can turn these off by adjusting your device settings.
By registering for the Services and providing your wireless number, you confirm and opt-in to receiving communications from Banaba, including information and marketing SMS messages, which may be delivered using automatic dialing technology to the wireless number you provided. Carrier message and data rates may apply, and Banaba is not responsible for delayed or undelivered messages. You agree to receive such communications and further agree that each individual you register for the Services or for whom you provide a wireless phone number has consented to receive communications from Banaba.
You agree to indemnify and hold Banaba harmless for any claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys’ fees) arising from your violation of the above obligations.
Restrictions on Use of the Services
You represent, warrant, and agree that you will not contribute any content or otherwise use the Services or interact with the Services in a manner that:
  • Infringes or violates the intellectual property rights or any other rights of anyone else (including Banaba);
  • Violates any law or regulation, including any applicable export control laws, privacy laws, or any other purpose not reasonably intended by Banaba;
  • Is violent, harmful, fraudulent, deceptive, threatening, harassing, discriminatory, defamatory, obscene, or otherwise objectionable;
  • Promotes illegal or harmful activities or substances;
  • Compromises the security of your Banaba User ID, Account, or anyone else’s (e.g., allowing someone else to log in to the Services as you);
  • Attempts to gain access to another user’s password, Account, or other security information;
  • Impersonates or misrepresents your affiliation with any person or entity;
  • Identifies any person under the age of 18 (including through the name, address, or other information), or identifies any person over 18 without their express consent;
  • Uses the Services for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
  • Collects or stores any personal data from other users of the Services without their express permission;
  • Attempts to circumvent any content filtering techniques we employ or accesses any feature or area of the Services that you are not authorized to access;
  • Attempts to access or search the Services by any means (automated or otherwise) other than our currently available, published interfaces provided by Banaba (and only pursuant to those terms and conditions);
  • Scrapes, crawls, or spiders any page, data, or portion of the Services or Content (through manual or automated means);
  • Copies or stores any significant portion of the Content;
  • Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services; or
  • Encourages or enables any other individual to do any of the foregoing.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services.
Rights to the Services
The materials displayed or available through the Services, including but not limited to audio and/or visual content, text, graphics, data, articles, photos, images, illustrations, and user submissions (collectively, the “Content”), are protected by copyright and/or other intellectual property laws (including the Digital Millennium Copyright Act). You agree to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content accessed through the Services and will not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, commercialize, or otherwise exploit for any purpose any Content not owned by you without the prior consent of the respective owner or in a way that violates someone else’s (including Banaba’s) rights.
Subject
to these Terms, we grant each user of the Services a worldwide, non-exclusive, non-sublicensable, and non-transferable license to use (i.e., to download and display locally) Content solely for purposes of using the Services. Use, reproduction, modification, distribution, or storage of any Content for purposes other than using the Services is expressly prohibited without prior written permission from us. You understand that Banaba owns the Services. Except as expressly set forth herein, you may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided herein), create derivative works based on, or otherwise exploit any part of the Services. The Services may allow you to copy or download certain Content, but please remember that even if these features exist, all the restrictions in this section still apply.
Rights to User Submissions
Any content you submit, post, upload, share, store, or otherwise provide through the Services is your “User Submission.”
You are solely responsible for all User Submissions you submit through the Services. You represent that all User Submissions you provide are accurate, complete, up-to-date, and in compliance with all applicable laws, rules, and regulations. You agree that you will not submit any User Submission that violates the “Restrictions on Use of the Services” section above.
We are not responsible for any User Submissions’ content, and we do not endorse any opinion contained in any User Submission. We make no warranties or representations about the accuracy, legality, or quality of any User Submission. We have the right to disclose your identity to any third party claiming that your User Submission violates their rights.
We may use feedback and other submissions for our internal business purposes, such as trend research and service improvements. You acknowledge that we may indirectly benefit from your sharing User Submissions, public User Submissions, or feedback and other submissions. For clarity, we will not publicly share your User Submissions or personal data without your explicit authorization unless it is consistent with our Privacy Policy.
We do not review User Submissions, but we have the right to review User Submissions to operate the Services and comply with legal or regulatory requirements. We reserve the right to remove, edit, or refuse to post any User Submissions at any time (without prior notice) at our sole discretion. Violations of these Terms by User Submissions are grounds for restricting and/or terminating your use or access to the Services.
License
To display your User Submissions on the Services and allow other users to view them (as applicable), you grant us certain rights to those User Submissions. All licenses granted to us are subject to our Privacy Policy as they pertain to User Submissions that are also your personal data.
For all User Submissions, you grant Banaba the license to modify (for technical purposes, such as ensuring your content is viewable on the App and the Site), aggregate, copy, and otherwise process User Submissions so we can operate the Services as described in more detail below.
For private User Submissions, you grant Banaba the above license, as well as the right to display, perform, and distribute your private User Submissions for the purpose of making them accessible to you and providing the necessary Services.
For shared User Submissions, you grant Banaba the above license, as well as the right to display, perform, aggregate, anonymize, and distribute your shared User Submissions for the purpose of making them accessible to other designated users (including parish administrators) and providing the necessary Services. Additionally, you grant these other designated users access to the shared User Submissions and the right to use and exercise all rights in them, as allowed by the Services' functionality.
For public User Submissions, you grant Banaba the above license, as well as the right to display, perform, aggregate, anonymize, and distribute your public User Submissions to make them accessible to other users of the Services and provide the necessary Services.
For feedback and other submissions, you grant Banaba the above license, as well as the right to use, edit, display, perform, distribute, create derivative works from, and fully exploit your feedback for our (and our successors and assigns) business purposes, including promoting and redistributing part or all of the Services (and derivative works) in any media formats and through any media channels, even after your Account is terminated.
For clarity, the above licenses granted to us and our users do not affect your other ownership or license rights in your User Submissions, including the right to grant additional licenses to your User Submissions unless otherwise agreed in writing. You represent and warrant that you have all the rights to grant us such licenses and will not infringe or violate any third-party rights, including but not limited to any privacy rights, publicity rights, copyrights, trademark rights, contract rights, or any other intellectual property or proprietary rights. You agree that the licenses you grant are royalty-free, perpetual, sublicensable, irrevocable, and worldwide.
Certain features of the Services allow you to share your usage activities or information with others, including those in your parish or through social networks. When content is authorized for sharing, we will clearly identify the content authorized for redistribution and how it may be redistributed, usually through a “share” button near the content. If you share information from the Services with others (including any social network), you authorize Banaba to share that information with the applicable third party. Please review the policies of any third parties with whom you share information to understand how they may use your information. If you redistribute content, you must be able to edit or delete any content you redistribute and must do so promptly upon our request.
Finally, you understand and agree that Banaba may need to make changes to your User Submissions to operate the Services, including conforming and adapting your User Submissions to technical requirements of connecting networks, devices, services, or media. The above licenses include the right to do so.
Copyright Dispute Policy
We have adopted the following copyright infringement policy. We reserve the right to (1) block access to or remove any content we believe in good faith is illegally copied and distributed and (2) terminate the Services of repeat infringers.
Procedure for Reporting Copyright Infringement
If you believe that material or content residing on or accessible through the Services infringes your copyright (or the copyright of someone you are authorized to act on behalf of), please send a notice of copyright infringement to Banaba’s Designated Agent (our “Designated Agent”), including the following information:
  • A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  • Identification of the copyrighted work or material claimed to have been infringed;
  • Identification of the material that is claimed to be infringing, including information reasonably sufficient to permit the company to locate the material;
  • Contact information, including address, telephone number, and, if available, email address;
  • A statement that the complaining party has a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement, under penalty of perjury, that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the copyright owner.
After Receiving a Valid and Bona Fide Infringement Claim
Upon receiving a valid copyright infringement notice, we reserve the right to:
  • Remove or disable access to the infringing material;
  • Notify the content provider that we have removed or disabled access to the material; and
  • Terminate access to the Services of repeat infringers.
Procedure for Providing a Counter-Notice to the Designated Agent
If the content provider believes that the material removed (or to which access was disabled) is not infringing or the content provider believes they have the right to post and use such material, they can send a counter-notice to our Designated Agent including the following information:
  • The content provider’s physical or electronic signature;
  • Identification of the material that has been removed or to which access has been disabled and the location where the material appeared before it was removed or disabled;
  • A statement of good faith belief that the material was removed or disabled as a result of mistake or misidentification; and
  • The content provider’s name, address, telephone number, and, if available, email address, and a statement that they consent to the jurisdiction of the federal court in the district in which the address is located or, if outside of the US, the courts located in British Columbia, and that they will accept service of process from the person who provided the original infringement notification or an agent of such person.
If our Designated Agent receives a counter-notice, Banaba may send a copy of the counter-notice to the original complaining party informing them that Banaba may restore the removed material or cease disabling it in 10 to 14 business days or longer at Banaba’s sole discretion unless the copyright owner files an action seeking a court order against the content provider.
Interacting with the Services
You bear all risks associated with accessing any information or content transmitted publicly or privately through the Services. We are not responsible for any errors or omissions in any content or any loss or damage resulting from the use of any content. We do not control or endorse the content, messages, or information found in the Services, and we specifically disclaim any responsibility for such content.
Banaba does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any content or communications posted through the Services or endorse any opinions expressed through the Services. You understand that by using the Services, you may be exposed to content that might be offensive, harmful, inaccurate, or otherwise inappropriate.
You agree to release and hold harmless Banaba from any claims, demands, and damages arising out of your use of the Services or participation in any content, including any disputes you may have with other users or third parties through the Services. You acknowledge and agree that we are not obligated to resolve any disputes you may have.
Banaba may contain
links or connections to third-party websites or services that are not owned or controlled by Banaba. When you access third-party websites or use third-party services, you accept that there are risks in doing so, and Banaba is not responsible for such risks.
Banaba has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to be aware of when you leave the Services and to read the terms and conditions and privacy policy of each third-party website or service that you visit or utilize.
Changes to the Services
We are always improving our Services, so they may change over time. We may suspend or discontinue any part of the Services or introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We will try to notify you of any material changes that adversely affect you, but this may not always be possible. Note that if you opt out of receiving legal notice emails (or you do not provide us with your email address), those legal notices will still govern your use of the Services, and you are still responsible for reading and understanding them. If you continue to use the Services after any changes to these Terms become effective, you agree to abide by the revised Terms. We reserve the right to remove any content at any time, for any reason (including, but not limited to, if someone alleges you contributed content in violation of these Terms), with or without notice.
Subscriptions and Fees
Free Services
Banaba offers a limited free version of the Services (“Free Services”).
Paid Services
Banaba offers certain enhanced features and content accessible through annual, monthly, family, or lifetime subscriptions (“Paid Services”). Any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of these Terms.
Free Trials and Promotions
You may be given access to Paid Services for a limited time through a free trial or initial discount promotional period. Any free trial or other promotion providing access to Paid Services must be used within the specified time period. If you sign up for a free trial of Paid Services, we will notify you before the Paid Services start being billed, and you must pay all applicable fees if you wish to continue using such Services. If you enjoy a discount on Paid Services during a promotional period, you must pay the full price for Paid Services after the promotional period ends. Otherwise, you must cancel the subscription to Paid Services before the free trial or promotional period ends to avoid being charged full price. If you cancel before the end of the trial period but are charged in error for Paid Services, please contact [email protected].
Billing
We may use third-party payment processors (e.g., Apple Pay, Google Pay, PayPal, etc., each a “Payment Processor”) to bill you for Paid Services through an account linked to your Account on the Services (your “Billing Account”). Payment processing will be subject to the Payment Processor’s terms, conditions, and privacy policies, in addition to these Terms. We encourage you to read the terms, conditions, and privacy policies of any Payment Processor used to purchase Paid Services. We are not responsible for errors or omissions by any Payment Processor. By choosing to use Paid Services, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms, and you authorize us, through the Payment Processor, to charge your chosen payment provider (your “Payment Method”). You agree to make payments using your selected Payment Method. We reserve the right to correct any errors or mistakes made by the Payment Processor, even if payment has already been requested or received.
Payment Method
Your payment terms will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer, app store (as defined below), or other provider of your chosen Payment Method. If we do not receive payment from you through the Payment Processor, you agree to pay all amounts due upon demand from your Billing Account.
Recurring Billing
Some Paid Services may include an initial period with an initial charge followed by recurring charges at mutually agreed intervals. By selecting a recurring payment plan, you acknowledge that such services have an initial and recurring payment feature, and you accept responsibility for all recurring charges prior to cancellation. We may submit periodic charges (e.g., monthly) without further authorization from you until you provide advance notice (which we confirm receipt of) that you have terminated this authorization or wish to change your Payment Method. Such notice will not affect charges submitted before we could reasonably act. To terminate your authorization or change your Payment Method, go to your Account settings.
Current Information Required
You must provide current, complete, and accurate information for your Billing Account. You must promptly update all information to keep your Billing Account current, complete, and accurate (e.g., change in billing address, credit card number, or credit card expiration date), and you must promptly notify us or our Payment Processor if your Payment Method is canceled (e.g., for loss or theft) or if you become aware of a potential security breach (e.g., unauthorized disclosure or use of your username or password). Changes to such information can be made in your Account settings. If you fail to provide any of the above information, you agree that we may continue charging you for any Paid Services under your Billing Account unless you have terminated your Paid Services as set forth above.
Fee Changes
We reserve the right to change pricing terms for Paid Services at any time, but will provide advance notice of any price increase and its effective date. Price changes will only apply to renewal periods beginning after the effective date of the price change. Any agreement you have with your Payment Method provider will govern your use of the Payment Method.
Automatic Renewal and Cancellation Process for Paid Services
Unless you opt out of auto-renewal, which you can do through your Account settings, any Paid Services you have signed up for will automatically extend for successive renewal periods of the same duration as the original subscription term at the then-current non-promotional rate. To change or cancel your Paid Services at any time, go to your Account settings on the website or your subscription settings in the app store. If you terminate a Paid Service, you may use your subscription until the end of the current term, and your subscription will not be renewed after the current term expires. However, you will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. If you do not want to continue being charged on a monthly or annual basis, you must cancel the applicable Paid Service or terminate your Banaba Account before the end of the current term. If you signed up for a Paid Service through an app store, you must cancel your subscription through the app store. Paid Services cannot be terminated before the end of the period for which you have already paid, and Banaba will not refund any fees you have already paid, except as expressly set forth in these Terms.
Subscription and Gift Card Refunds
All sales of Paid Services and gift cards are final. Any refunds or discounts are at our sole discretion and are evaluated on a case-by-case basis. If you purchased Paid Services through our website, you can request a refund by sending the receipt from the Payment Processor according to the instructions in the Help Center. If approved, we may provide you with a refund or equivalent store credit. If you purchased Paid Services through an app store, you must contact the app store directly to request a refund.
Resolving Fee Disputes
If you have any concerns or disputes about fees, you agree to raise them with us first and agree not to cancel, reject, or dispute any credit card or third-party payment processing fees before you have made a reasonable attempt to resolve the issue directly through our Help Center and Customer Support chat system.
Promotional Codes
Any promotional codes or offers provided by us cannot be combined with any other promotional codes or offers, past or present, unless otherwise expressly stated. Introductory offers apply to new users only unless otherwise expressly stated. Previous users or trial users of Paid Services do not qualify as new users. Not all promotional codes may apply to all Accounts. Unless otherwise stated in any promotional terms, all pricing promotions or discounts will apply to the initial term, and any renewals will be charged at the renewal rate in effect at the time of renewal.
Termination of Services
You may stop using the Services at any time, including by terminating your Account through your Account settings. You can contact us at [email protected] for help with this process. Please refer to our Privacy Policy and the licenses above to understand how we treat information you provide to us after you stop using our Services.
Banaba may also terminate (or suspend access to) your use of the Services or your Account for any reason, including if you violate these Terms. Banaba has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.
Your Account will remain open unless you choose to delete it, even if you are not actively using the Services and/or have deleted the app from your device. Your Account will only be fully terminated if you choose to delete it through your Account settings. Account termination may result in the deletion of any content associated with your Account, so please consider this before deciding to terminate your Account.
If you accidentally delete your Account, please contact us immediately at [email protected] – we will try to help, but we cannot guarantee that we will be able to recover or restore any content.
Some provisions of these Terms will survive termination, including any obligations to pay us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and any terms regarding disputes between us, including without limitation the arbitration agreement.
Additional Terms for App Stores
You acknowledge and agree that our Apps and Services' availability depends on the third-party store from which you download the Apps, such as Apple’s App Store or Google’s Android app market (each, an “
App Store”). Each App Store may have its own terms and conditions that you must agree to before downloading mobile applications from such store, including the specific terms regarding Apple’s App Store below. You agree to comply with such App Store terms and conditions, and your license to use the Apps is conditioned upon your compliance with such App Store terms and conditions. In the event of a conflict between an App Store’s terms and these Terms, the more restrictive or conflicting provisions shall apply.
Apple App Store Applications
These Terms apply to your use of all Services, including any Apps available via the Apple, Inc. (“Apple”) App Store, but the following additional terms also apply to any such Apps:
  • Both you and Banaba acknowledge that these Terms are concluded between you and Banaba only, and not with Apple, and that Apple is not responsible for the Apps or the Content;
  • The Apps are licensed to you on a limited, non-exclusive, non-transferable, non-sublicensable basis, solely to be used in connection with the Services for your private, personal, non-commercial use, subject to all the Terms as they are applicable to the Services;
  • You will only use the Apps in connection with an Apple device that you own or control;
  • You acknowledge and agree that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Apps;
  • In the event of any failure of the Apps to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Apps to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Apps;
  • You acknowledge and agree that Banaba, and not Apple, is responsible for addressing any claims you or any third party may have relating to the Apps or your possession and/or use of the Apps, including, but not limited to, product liability claims, any claim that the Apps fail to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation;
  • You acknowledge and agree that, in the event of any third-party claim that the Apps or your possession and use of the Apps infringe that third party’s intellectual property rights, Banaba, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim;
  • You represent and warrant that you are not located in a country subject to a Canadian government embargo or that has been designated by the Canadian government as a “terrorist supporting” country and that you are not listed on any Canadian government list of prohibited or restricted parties;
  • Both you and Banaba acknowledge and agree that, in your use of the Apps, you will comply with any applicable third-party terms of agreement that may affect or be affected by such use; and
  • Both you and Banaba acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
Referrals
Banaba may from time to time offer rewards or incentives for referring others to use the Services. A referring user (“Referrer”) may refer individuals or entities who are not currently Banaba customers and who have not previously registered for the Services (“Referees”). Registered users are individuals or entities that already have a Banaba account. There is no limit on the number of referrals a Referrer may make, and no limit on the cumulative rewards or incentives that may be earned through such special offers, unless specifically stated in the referral offer terms. The Referrer will receive a reward or incentive for each Referee who completes the required action described in the specific offer (e.g., registering for an account or making a purchase). All Referees must be new to the Services, and multiple referrals for the same person or entity will be disregarded. Banaba reserves the right to modify or terminate any special offer at any time, and the final determination as to the special offer eligibility and rewards rests with Banaba. If Banaba determines that the Referrer or Referee has attempted to gain unfair advantage or otherwise violated the terms or spirit of such special offer, Banaba reserves the right to (a) void any rewards or incentives earned by the Referrer or Referee and/or (b) charge the Referrer or Referee for any (1) rewards or incentives the Referrer or Referee received prior to such voiding and (2) any rewards or incentives Banaba gave to any ineligible Referrer or Referee. All special offers are subject to any additional terms, conditions, and restrictions displayed on the Services or in the special offer.
Disclaimer of Warranties, Limitation of Liability, and Indemnification
Disclaimer of Warranties
Banaba and its licensors, suppliers, partners, parent, subsidiary, and affiliated entities, and their respective officers, directors, members, employees, consultants, contractors, representatives, and agents and their respective successors and assigns (Banaba and all such parties collectively, the “Banaba Parties”) make no representations or warranties about the Services, including any content or products available through the Services, and the Banaba Parties disclaim any responsibility for the accuracy, copyright compliance, legality, or decency of any content or products provided by the Services.
Indemnification
You agree to indemnify and hold harmless the Banaba Parties from any and all claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys’ fees) arising from or in any way related to your use of the Services (including any actions taken by a third party using your Account) and your violation of these Terms. In the event of any such claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your Account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).
Dispute Resolution
Choice of Law
These Terms are governed by and construed in accordance with the federal laws of Canada and the laws of the Province of British Columbia, without regard to conflict of law principles.
Arbitration
The parties shall use their best efforts to settle amicably any dispute, claim, question, or disagreement arising out of or relating to these Terms through good-faith negotiation, which shall be a condition to either party initiating arbitration. If such efforts are unsuccessful, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration in Vancouver, Canada.
Miscellaneous
You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Banaba's prior written consent. We may assign, delegate, or transfer these Terms and our rights and obligations without consent. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that Banaba may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of you or us to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. You and Banaba agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Banaba, and that they supersede and cancel all previous written and oral agreements, communications, and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venturer of Banaba, and you do not have any authority of any kind to bind Banaba in any respect whatsoever.
Except as expressly set forth in the section above regarding Apple’s App Store, you and Banaba agree there are no third-party beneficiaries intended under these Terms.
